A legal and enforceable contract is formed between the client and Tech Olive for availing the services the client chooses by himself, through Tech Olive website or any third party (vendor). Basic Responsibilities
By accepting to use our Service, You agree that you are in legal possession of the software installed on your device. You also agree that your device, and your use of services and internet is solely at your risk. If you choose to accept the Services, you confirm that you have performed a back-up on separate media. The information provided to Tech Olive by you must be accurate, which includes your details such as name, address, credit card numbers with expiry dates or any other payment related information. Any bills to be paid by credit card should be authorized by you in the name of Tech Olive LLC
Transfer of Services
Transfer in case of Subscription-Based-Services is done only once during the subscription period from one device to another provided it is of the same owner. The Services are strictly prohibited to be used with a service bureau or any other network of distribution or sharing arrangement, or on behalf of any third parties or any hardware or software previously installed on your computer or intended device.

PRIVACY : DATA PROTECTION
Before agreeing to the terms and conditions of Tech Olive there is a link on the website regarding the Privacy Policy, it should be reviewed strictly by the user prior to entering in a contract. According to the Privacy Policy data other than the personal information provided by you to Tech Olive via telephone, email or otherwise, is not confidential or proprietary to you. When a request is sent for the Services, following information will be collected and sent from your personal computer to Tech Olive through Internet: The information provided to Tech Olive’s service representative through telephone or entered online on the website while requesting the Services; and The type and version of operating system and Internet browser installed on your device. The number of files scanned, threats identified, and fixed by the Software Tool; The nature of threats found; The number and type of threats left out that could not be fixed by the Software Tool; Whether a firewall is active and up to date or not. Status of installed antivirus software, whether running and updated or not; Browser information including security and temporary file settings; System information pertaining to the operating system, memory and disk space, proxy configuration and directory listings for the Software Tool; The security status of your Device as identified by the Support Software Tool; Information pertaining to installed programs and active processes; and Information related to Application log file and registry data. Depending on type issue any other additional information may also be collected by Tech Olive or its vendors for diagnosis, analysis and resolution. An adequate level of data protection technique is provided by Tech Olive or its vendors group if the data is transferred to the regions which have liberal laws related to data protection as compared to other regions such as European Union. If asked by any legal authority such as a law enforcement official, Tech Olive may disclose the collected information, if it comes under any legal proceedings or subpoena. Tech Olive may share certain information for the purpose of promotion, awareness, detection and prevention of risks related to internet with research organizations and other security software vendors. It may also use the information or statistical data to track and publish articles or reports on security risk trends.

Indemnity

You agree to indemnify, protect, and hold Tech Olive , its subsidiaries, associates, officers, directors, agents, employees, licensors, suppliers, consultants, and any third-party Website providers safe from and against all claims, demands, actions, losses, liabilities, expenses, damages, and costs, such as actual attorneys’ fees, that result from your breach of the material terms of these Terms of Use, any misuse or abuse of a Service, any use of the Service that amounts to infringement, or infringement by any other user of your account of any intellectual property or other right of Tech Olive or any other third party. You will assist as much as possible in Tech Olive ’ defense of any claim. Tech Olive reserves the right, at its own expense, to presume the sole defense and control of any matter otherwise subject to indemnification by you and you shall not in any event resolve any matter without obtaining written consent of Tech Olive . You agree to immediately inform Tech Olive if you notice any unauthorized use of your account or any other violation of security that you come across.

Proprietary Rights

Tech Olive and its licensors or suppliers hold all proprietary rights related to the Tech Olive Websites, its Services, softwares all trade names, trademarks and service marks associated with the Services. None of the Tech Olive’ proprietary rights such as trademarks notices, copyright, legends, notices, or any other incorporated service marks shall not be removed, defaced or obscured by you. Any Software with the Services shall not be reverse engineered, reverse compiled or reduced to any other readable form.

Force Majeure

Tech Olive shall not be deemed responsible for any failure in the performance due to any circumstances beyond control, which also includes but does not limit the acts of God, civil or military war, riots, embargoes, natural calamities such as fire, floods, accidents, and industrial problems such as strikes, lockouts, transportation, a new computer virus, fuel, energy, labor or materials. Hence, Tech Olive is not liable, to you or any third party for any direct or indirect damages which might result from such delays. Tech Olive or its associated vendors may, at any time, without notice or liability, restrict the use of the Services.

Export Regulation

An acknowledgement has to be given that the Softwares, related technical data and services (collectively termed “Controlled Technology”) is subject to the import and export laws of the US territory, and the laws of other countries also where Controlled Technology is imported or re-exported. Your consent should be given that you will comply with all the relevant laws. You will not export any Controlled Technology which is contradictory to US law or to any prohibited country, entity, or person for which an export license or other governmental approval is required. All Tech Olive products are prohibited for export or re-export to Cuba, North Korea, Iran, Syria and Sudan and to any other country which requires relevant trade sanctions. You hereby agree not to export or sell any Controlled Technology to be used for any chemical, biological, or nuclear weapons, or missiles, drones or space launch vehicles testing.

Introduction: “Subscription-Based- Services” provided by Tech Olive shall depended upon the independent Terms and Conditions of the respective vendors as and when mentioned. To avail the services of the listed vendors on Tech Olive Websites need a working internet. The objective of Tech Olive is the continuous improvement of its services and products. Also, Tech Olive can improve the technical aspect related to the services at its own discretion and but as per the existing laws may alter the features or descriptions of the Services from time to time. However, this will not change the quality of the Services provided to you which it has specifically agreed to provide you.

Tech Olive will provide the following services as per the terms and conditions. The representative will direct you to the location where you could download the dependent software that are part of your subscription. You can request for the same via our support email or call our number mentioned on our website.

Commercially Reasonable Effort

Tech Olive through its vendors makes every possible effort to provide you the solution for the services availed in your subscription. Tech Olive on its sole discretion, reserves the right to refuse, suspend or terminate any of the existing services.

Service Availability
​
Sometimes the services are not always available according to the time zone, or on the same geographical location, as it may have some system maintenance or internet related issue. In case Tech Olive or its prescribed vendors , by any means, finds out that your subscription is being used fraudulently, unreasonably, by any user other than you, or any system other than registered system, then it reserves the right to terminate the service by giving notice. If the subscription is terminated, then in that case, Tech Olive will cancel you further billing requests. Depending on the purchase of subscription level, the services are subjected to additional requirements, limitations and restrictions.

SERVICE PLANS, REFUNDS, BILLING, PAYMENT RENEWALS

Subscription Plans and Refunds:

SUBSCRIPTION services availed from Tech Olive can be cancelled via phone or email request. All subscriptions services can only be cancelled after the period of 12 months or be made within 5 business days from the purchase of the service. If choose to cancel the subscription request, Tech Olive is liable for the repayment of the cancelled subscription service (shipping and handling charges, and any other applicable taxes are deductible, except for certain states and countries where all these charges are refundable). A refund request can be made over the phone or via email listed on the website after the minimum period of 12 months are over or as in when you trial period is over. You will not be billed for the services going further in case you intend to cancel after the minimum period of 12 months is over.
Payment for the Services
The fee quoted for the Services is available on the site or may be quoted over telephone. The order may be made according to the requirement. The payment (including the applicable taxes) of your order will be made on your credit card and the charges are applicable as per your selected Services. For purchase of the Services made by you from Tech Olive through the Site: You agree that Tech Olive may charge to your credit card or other authenticated payment mechanism requested by You and verified by Tech Olive all amounts payable and owing for Tech Olive for the Services; Unless otherwise agreed by Tech Olive in writing, all payments payable for the Services must be made after your trail period ends or immediately after receiving these services from Tech Olive or its listed vendors. Tech Olive , is not obliged under any condition, to give the Services if the payment is not made. Services purchased from a Reseller/Vendor will be subjected to their terms of sale.
Renewal Policy
Tech Olive LLC provides subscription services that are auto renewal after the period that are specified on the subscription chosen. Subscription Services are automatically renewed and ends after the period specified or as long as the customer intends to use the services.

Fair Usage Policy & Termination

Subscriber's use of the services are subject to Tech Olive ’s and its vendors “fair use" policy. Under this policy, at any time, if it is found that, in a subscription based plan, user is misusing the service by any means, then Tech Olive or its vendors at its sole discretion reserves the right to suspend or terminate the Subscriber's Subscription Services. In addition, Tech Olive also has the full right under its discretion to suspend or terminate any Subscription Services of existing Subscribers if it is found that the services are being used (a) fraudulently, (b) by any person other than Subscriber, or (c) for any computer system other than a Registered System.

General

The Terms will be governed according to the laws of USA. The Terms will not derogate you from any rights, which come under existing consumer protection legislation or other applicable laws in your jurisdiction. The Terms are an agreement between you and Tech Olive for the Services provided and: (i) supersede all prior oral or written communications, proposals, and representations with respect to its subject matter; and (ii) prevailing conflicts or additional terms of any quote, order, acknowledgment, or any communication between the parties. The Terms would be deemed as terminated immediately if there is any breach and the Services will be stopped. The disclaimers of warranties and damages and limitations of liability agreed upon shall survive termination.
